All policies and terms of service are governed by the laws of the State of Delaware in the USA, without giving effect to any conflict-of-law principle that would result in the laws of any other jurisdiction governing this Agreement. Any dispute arising out of or in connection with the present Agreement, including any question regarding its existence, validity, or termination, shall first be referred to and attempt to be settled by a non-binding mediator as mutually selected and agreed upon by the disputing parties. Should mediation not resolve in a mutually agreed-upon settlement for any dispute which may arise, all further disputes shall be settled by binding arbitration and shall be conducted in the State of Alaska and subject to the laws of the State of Delaware. The language to be used in the arbitral proceedings shall be English.

Any Client staff member who brings an employment dispute with the Provider which arises during the term of this Agreement shall be administered, settled, and paid for by the Provider, with the exception of such a dispute being brought by a staff member where it can be proved he or she was under direct instruction from the Client to render illicit or illegal activities, in which case, the Provider will still administer and settle the proceedings with the applicable authorities but all fines or legal costs of such a settlement to be paid by the Client.
